1.1 To be eligible to any of the services, products and rewards under these Terms, you:

1. must have and maintain one or more account(s) for GXS Business Banking services and products with the bank (a “GXS Business Banking Account”); and
2. meet such other requirements that the Bank may specify from time to time.

1.2 Your participation in Biz Ecosystem Terms – Grab is subject to your GXS Business Banking Account being active and in good standing and in good standing (in the Bank’s sole determination).

1.3 The Bank shall have the sole discretion to determine your eligibility to participate in Biz Ecosystem Terms – Grab and shall be entitled to disqualify any person and/or account(s) eligible to participate in Biz Ecosystem Terms – Grab without reason, notice or liability to any person, and shall not be liable for any Loss that may be incurred as a result.

2.1 You shall comply with the Bank’s terms and conditions, including but not limited to the Data Privacy Policy and applicable terms and conditions of GXS Business Banking (including the Business Account Terms).

2.2 In the event of any inconsistency between these Terms and any other terms and conditions of the Bank, such other terms and conditions shall prevail to the extent of such inconsistency.

2.3 In the event of any inconsistency between these Terms and any brochure, marketing or promotional material relating to the ecosystem with Grab, these Terms shall prevail.

3.1 You represent and warrant on a continuing basis that you have the full power, authority and capacity to enter into these Terms, to enter into any transactions with or through the Bank, and to perform and comply with all your obligations under these Terms.

4.1 Under these Terms, “Grab” means GrabTaxi Holdings Pte. Ltd., or its affiliates, where applicable. Grab’s terms and conditions, including but not limited to the Grab Merchant: Terms and Conditions, as determined by Grab from time to time apply. “Grab Merchant”, “GrabFood Merchant”, “GrabUnlimited” and any other references of Grab shall each have the meaning ascribed by Grab.

4.2 The Bank is not an agent of Grab. The Bank holds a banking licence and is regulated by the Monetary Authority of Singapore. The Bank is a separate entity from Grab Holdings, the Singtel Group and their entities. The Bank is the provider of GXS Business Banking (which includes the GXS Biz Account). The Bank’s terms and conditions are separate from Grab’s terms and conditions. The Bank is not responsible for the terms and conditions, or any changes to the terms and conditions, of Grab.

4.3 The GrabMerchant app is not operated by the Bank, and the availability and provision of the GrabMerchant app is dependent on Grab. The Bank is not responsible for any actions of Grab, or any non-availability of the GrabMerchant app and website.

4.4 Any issues or disputes relating to Grab, such as terms and conditions governing Grab Merchants or the fulfilment or crediting of the Grab Rewards), should be resolved directly with Grab. Issues relating to the GrabMerchant app and website, including maintenance and support issues, malfunctions, or claims relating to the GrabMerchant app and website, should be resolved directly with Grab.

5.1 The Bank shall not be liable for any Loss that you may incur in connection with or arising from our provision of services or products to you, unless such Loss is caused by our gross negligence, wilful misconduct or fraud.

5.2 We are not responsible or liable for the acts of any third party, including the acts of any third party involved in the provision of services or products to you, or the acts of any third party service providers, contractors or agents engaged by the Bank and their sub-contractors or further indirect sub-contractors or the insolvency or bankruptcy of any such third party, and we will not be liable for any Loss that you may incur as a result of the acts of any such third party, unless such Loss is caused by our gross negligence, wilful misconduct or fraud.

5.3 You agree, on a continuing basis, to indemnify the Bank, and pay and reimburse the Bank, for all and any Losses that the Bank may incur in connection with or arising from our provision of services or products to you, except where such Loss is caused by our gross negligence, wilful misconduct or fraud. This clause shall survive the termination of these Terms.

6.1 The Bank reserves the right at its absolute discretion to add to, amend, modify or vary any or all of these Terms at any time without notice including, without limitation, the eligibility of any business and the rewards period of any Biz Ecosystem Rewards – Grab. You are deemed to accept and are bound by such variations, additions, deletions, amendments and/or modifications if you do not terminate your participation in the Biz Ecosystem Terms – Grab. The decision of the Bank on all matters relating to these Terms shall be final and binding on all participants. No correspondence or appeal shall be entertained by the Bank.

7.1 A third party who is not a party to these Terms shall have no rights under the Contracts (Rights of Third Parties) Act 2001 of Singapore to enforce or enjoy the benefit of any provision of these Terms.

8.1 These Terms shall be governed by and interpreted in accordance with Singapore law. You agree to submit to the exclusive jurisdiction of the Singapore courts.

9.1 The table below sets out the meaning of the following capitalised words when used in these Terms.

“Business Account Terms” means our terms and conditions governing GXS Business Banking deposit accounts (i) set out at the following URL: https://www.gxs.com.sg/business-operatingaccount-terms, or (ii) made available through our mobile application.

“Data Privacy Policy” means our data privacy policy as (i) set out at the following URL: www.gxs.com.sg/data-privacy, or (ii) made available through our mobile application.

“Loss” means any losses, damages, costs (including legal costs on a full indemnity basis), expenses, liabilities, taxes, charges, suits, proceedings, actions, claims, any other demands or remedies of any kind, whatsoever and however caused, whether arising under contract, tort or otherwise, and including any lost profits, earnings, business, goodwill or opportunity, and any costs or expenses incurred to protect or enforce legal rights, whether or not foreseeable, and whether direct, indirect or consequential.

1.1 Bonus Interest shall be available from 18 November 2024 until such date as determined and notified by the Bank in its sole discretion (“Bonus Interest Period”).

2.1 You will be rewarded with Bonus Interest for each month during the Bonus Interest Period if, during that calendar month:

1. your GXS Biz Account is your Grab Merchant settlement account; and
2. you make at least one (1) end-of-day cash out from your Grab Merchant account into your GXS Biz Account.

2.2 The Bonus Interest you will receive is 0.8% Bonus Interest.

2.3 “Bonus Interest” means the applicable additional interest paid on the principal amount in your GXS Biz Account only. No Bonus Interest shall be payable on the interest paid to you for deposits in the GXS Biz Account. For the avoidance of doubt, you will continue to earn interest at the prevailing rate for funds maintained in your GXS Biz Account.

3.1 Bonus Interest is awarded on a calendar month basis. Limited to a maximum of one (1) Bonus Interest for each calendar month throughout the Bonus Interest Period.

3.2 Bonus Interest for each month will be credited into the Main Account of your GXS Biz Account within 15 days after the end of each calendar month.

3.3 You will not be eligible to receive Bonus Interest for a calendar month if:

1. your GXS Biz Account is not your Grab Merchant settlement account during the calendar month; and/or
2. you do not make at least one (1) end-of-day cash out within the calendar month from your Grab Merchant account into your GXS Biz Account.

3.4 Your GXS Biz Account must be active and in good standing with the Bank until the point of fulfilment. If your GXS Biz Account is closed prior to the crediting of any Bonus Interest for any reason, the Bonus Interest that has yet to be credited will be forfeited notwithstanding that it was accrued under the Biz Ecosystem Rewards – Grab (Bonus Interest).

3.5 Bonus Interest is not exchangeable for cash, credit or any other items, and cannot be transferred or assigned.

3.6 The Bank reserves the right to replace, exchange, vary or substitute Bonus Interest with an item(s) of equivalent value at its sole discretion without prior notice or reason and without liability to any persons.

3.7 If the Bank at any time determines at its sole and absolute discretion that any of the requirements of the Biz Ecosystem Rewards – Grab (Bonus Interest) were not met or complied with, the Bank reserves the right to recover any or all Biz Ecosystem Rewards – Grab (Bonus Interest) (or its equivalent value) by deduction from your GXS Biz Account or any account you maintain with us.

3.8 Notwithstanding that you may fulfil the criteria for Bonus Interest under both Biz Ecosystem Rewards – Grab (Bonus Interest) and Biz Ecosystem Rewards – Singtel (Bonus Interest) for any calendar month, you shall be rewarded with up to one (1) Bonus Interest only and will not receive Bonus Interest under both Biz Ecosystem Rewards – Grab (Bonus Interest) and Biz Ecosystem Rewards – Singtel (Bonus Interest).

1.1 The Grab Rewards shall be available from 18 November 2024 until such date as determined and notified by the Bank in its sole discretion (“Grab Rewards Period”).

2.1 You will be rewarded one (1) month’s free GrabUnlimited (if you are a GrabFood merchant) by Grab or such other perk from Grab as determined by Grab in Grab’s sole discretion (“Grab Reward”), when:

(a) your GXS Biz Account is your Grab Merchant settlement account for the first time; and

(b) you make at least one (1) end-of-day cash out from your Grab Merchant account into your GXS Biz Account.

2.2 You will receive one (1) Grab Rewards upon successfully fulfilling the criteria for Grab Rewards for the first time.

2.3 As each customer of the Bank can receive one (1) Grab Rewards only, you will not receive a further Grab Rewards for any subsequent account openings or choice of your GXS Biz Account for your Grab Merchant settlement account under the Biz Ecosystem Rewards – Grab (Grab Rewards).

3.1 Grab Rewards are issued on a first-come-first served basis and are while stocks last.

3.2 Limited to a maximum of one (1) Grab Rewards per customer of the Bank.

3.3 The Grab Rewards will be fulfilled and credited by Grab, subject to the applicable terms and conditions of Grab.

3.4 Your GXS Biz Account must be active and in good standing with the Bank until the point of fulfilment. If your GXS Biz Account is closed prior to the redemption, crediting or fulfilment of any Grab Rewards for any reason, the Grab Rewards that has yet to be redeemed, credited or fulfilled may be forfeited notwithstanding that it was accrued under the Biz Ecosystem Rewards – Grab (Grab Rewards).

3.5 You will not be eligible to receive the Grab Reward if you had received the one (1) month’s free GrabUnlimited for GrabFood merchant or such other perk from Grab as determined by Grab in Grab’s sole discretion and notified to you in your Notification (“Grab Perk”) under the GXS Bank GXS Business Banking Beta Programme.

3.6 Grab Rewards is not exchangeable for cash, credit or any other items, and cannot be transferred or assigned.

3.7 The Bank reserves the right to replace, exchange, vary or substitute Grab Rewards with an item(s) of equivalent value at its sole discretion without prior notice or reason and without liability to any persons.

3.8 If the Bank at any time determines at its sole and absolute discretion that any of the requirements of the Biz Ecosystem Rewards – Grab (Grab Rewards) were not met or complied with, the Bank reserves the right to recover any or all Biz Ecosystem Rewards – Grab (Grab Rewards) (or its equivalent value) by deduction from your GXS Biz Account or any account you maintain with us.

3.9 The Bank may at any time add to, amend, modify, vary or withdraw the terms of the Biz Ecosystem Rewards – Grab (Grab Rewards).

3.10 The Biz Ecosystem Rewards – Grab (Grab Rewards) are not valid with other offers or promotions unless otherwise stated.
